Terms and Conditions for FIRELINE FUEL LLC

These Terms and Conditions ("Terms") govern your access to and use of the Fireline Fuel website, products, business-to-business sales, future subscriptions, and related services (collectively, the "Services") offered by FIRELINE FUEL LLC ("Fireline Fuel," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Our Services

Fireline Fuel provides food products, nutritional energy products, business-to-business (B2B) supply, educational content, and related services. We may sell products directly to consumers, line lunch caterers, distributors, government contractors, and other commercial purchasers. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

2. Intellectual Property Rights

Unless otherwise indicated, all content, trademarks, trade dress, logos, product names, branding, text, graphics, images, videos, designs, and other materials made available through the Services are owned by or licensed to Fireline Fuel and are protected by applicable intellectual property laws.

Except as expressly permitted in writing by Fireline Fuel, you may not copy, reproduce, republish, upload, post, distribute, modify, create derivative works from, display, sell, or exploit any part of the Services or our content for any commercial purpose.

3. User Representations

By using the Services, you represent and warrant that:

  • you have the legal capacity to enter into these Terms;
  • you are at least 18 years old;
  • you will comply with all applicable laws and regulations;
  • any information you provide to us is true, accurate, current, and complete.

4. Prohibited Activities

You agree not to:

  • use the Services for any unlawful purpose;
  • infringe or violate our intellectual property rights or the rights of others;
  • engage in fraudulent, deceptive, misleading, or abusive conduct;
  • interfere with or disrupt the operation or security of the Services;
  • access or use the Services through bots, scrapers, crawlers, or other automated means without our prior written consent;
  • attempt to bypass any access restrictions or protective measures on the Services.

5. User Reviews and Contributions

Users may be permitted to submit reviews, comments, testimonials, feedback, or other content. Any such content must be truthful, lawful, non-misleading, and based on your actual experience. We reserve the right, but not the obligation, to monitor, remove, edit, refuse to post, or take down any content at our sole discretion.

6. Contribution License

By submitting a review, testimonial, comment, or other content to us, you grant Fireline Fuel a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and otherwise use that content in connection with our business, including for advertising, promotional, and commercial purposes, without further notice or compensation to you.

7. Future Subscription Terms

Fireline Fuel may offer subscription-based purchases in the future. If subscriptions are offered, additional terms relating to recurring billing, renewal, cancellation, payment timing, and any applicable subscription benefits or restrictions will be presented at checkout or in a separate subscription policy and will be incorporated into these Terms.

8. Refund and Return Policy

Direct-to-Consumer Purchases

If Fireline Fuel offers direct-to-consumer sales, we may offer a 30-day money-back guarantee for eligible consumer purchases, subject to the refund policy posted at the time of sale. We reserve the right to require proof of purchase, order details, photographs, or other reasonable verification before issuing a refund or replacement. We may deny refund requests in cases of suspected fraud, abuse, or excessive claims.

Business-to-Business Purchases

All B2B sales are final unless otherwise agreed in writing. Due to the nature of food products, Fireline Fuel does not accept returns for B2B orders except in cases of proven damage, defect, or shipment error attributable to Fireline Fuel. Claims for damaged, defective, incorrect, or nonconforming shipments must be submitted in writing within the time period stated in the applicable shipping policy, invoice, quote, purchase order, or separate written agreement. Approved claims may be resolved by replacement, store credit, or other remedy selected by Fireline Fuel in its sole discretion.

9. Shipping and Risk of Loss

All shipping, delivery, inspection, risk-of-loss, freight, and related matters are governed by the Fireline Fuel Shipping Policy in effect at the time of purchase, unless otherwise stated in a separate written agreement. For commercial and B2B orders, title and risk of loss generally pass when the goods are delivered to the carrier, unless otherwise agreed in writing.

10. Product Use, Food Safety, and Assumption of Risk

Fireline Fuel products are food products intended for general consumption. You are solely responsible for reviewing product labeling, ingredient information, storage instructions, and any warnings before use.

By purchasing or using our products, you acknowledge that individual reactions to food products may vary and that you are responsible for determining whether a product is appropriate for your intended use, dietary preferences, activity level, and health circumstances. You assume all risks associated with handling, storing, transporting, reselling, distributing, or consuming the product after delivery, including use in demanding environments such as wildfire operations, outdoor labor, military settings, or endurance-related activities.

Warning: Not for infants under 1 year of age.

11. Disclaimer Regarding Product Information

Any information provided by Fireline Fuel regarding product use, calorie content, carbohydrate content, fueling strategies, field use, or general nutrition is provided for general informational purposes only. It is not medical advice and should not be relied upon as a substitute for professional medical, nutritional, operational, or legal guidance.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

WITHOUT LIMITING THE FOREGOING, FIRELINE FUEL DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
  • ANY PRODUCT WILL MEET YOUR EXPECTATIONS OR ACHIEVE ANY PARTICULAR RESULT;
  • ANY PRODUCT IS APPROPRIATE FOR YOUR SPECIFIC USE, OPERATIONAL CONDITIONS, OR DIETARY NEEDS.

13. Services Management

We reserve the right, but not the obligation, to monitor the Services for violations of these Terms and to take any action we deem appropriate, including restricting access, canceling orders, removing content, suspending accounts, or terminating access.

14. Term and Termination

These Terms remain in effect while you use the Services. We may suspend or terminate your access to the Services at any time, for any reason, including suspected fraud, misuse, violation of these Terms, or conduct that may harm Fireline Fuel or others.

15. Modifications and Interruptions

We reserve the right to change these Terms or the Services at any time in our sole discretion. Updated Terms become effective when posted, unless otherwise stated. We are not liable for any interruption, delay, downtime, or unavailability of the Services.

16. Force Majeure

Fireline Fuel is not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, wildfire, flood, severe weather, labor disputes, supply chain interruption, carrier delays, government action, utility outages, pandemics, war, terrorism, or other force majeure events.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

18. Dispute Resolution; Arbitration; Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any product purchased from Fireline Fuel shall be resolved by binding arbitration in the State of California, administered by the American Arbitration Association under its applicable rules, except that either party may bring an individual action in small claims court if eligible or seek injunctive or equitable relief in a court of competent jurisdiction for misuse of intellectual property or other urgent equitable matters.

YOU AND FIRELINE FUEL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.

If any part of this arbitration provision is found unenforceable, the remaining portions shall remain in effect to the fullest extent permitted by law.

19. Corrections

We reserve the right to correct any errors, inaccuracies, or omissions relating to the Services, including pricing, product descriptions, availability, shipping information, or other content, at any time and without prior notice.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIRELINE FUEL AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIRELINE FUEL’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR PRODUCTS SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO FIRELINE FUEL FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

21. Indemnification

You agree to defend, indemnify, and hold harmless Fireline Fuel and its affiliates, members, managers, officers, employees, contractors, agents, licensors, and suppliers from and against any claims, demands, actions, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • your use of the Services;
  • your breach of these Terms;
  • your violation of any law or the rights of a third party;
  • your handling, resale, marketing, distribution, or use of Fireline Fuel products.

22. Privacy

We collect, use, and disclose personal information in accordance with our Privacy Policy. Your use of the Services is also subject to our Privacy Policy.

23. Electronic Communications, Transactions, and Signatures

You consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

24. Affiliate and Endorsement Disclosure

Fireline Fuel may work with affiliates, ambassadors, endorsers, and other promotional partners who may receive compensation, discounts, commissions, or free product. Any opinions or testimonials provided by such persons are their own and do not guarantee any particular result or experience for other users.

25. Business-to-Business (B2B) Sales

B2B customers, including line lunch caterers, distributors, resellers, and government contractors, may be subject to additional or separate terms stated in a quote, invoice, purchase order, sales acknowledgment, supply agreement, credit agreement, or other written contract. In the event of any conflict between these Terms and a separate written agreement signed by Fireline Fuel, the separate written agreement controls.

Unless otherwise agreed by Fireline Fuel in writing, all B2B orders must be paid in full before processing or shipment.

26. Resale Restrictions

You may not resell, redistribute, or commercially exploit Fireline Fuel products without our prior written authorization, except as expressly authorized in a separate written agreement. Unauthorized resale on third-party marketplaces is prohibited, including on Amazon, eBay, Walmart Marketplace, and similar platforms.

Fireline Fuel reserves the right to reject or cancel orders, refuse service, limit quantities, terminate accounts, revoke authorization, and pursue any lawful remedies against unauthorized resellers.

27. Minimum Advertised Price (MAP) Policy

Fireline Fuel may establish and update a Minimum Advertised Price ("MAP") policy applicable to authorized resellers. If a MAP policy is issued, authorized resellers are required to comply with it. Failure to comply may result in suspension of supply, termination of reseller status, or other remedies determined by Fireline Fuel.

Any MAP policy applies only to advertised prices and does not restrict the price at which a reseller may actually sell a product, unless otherwise stated in a separate written agreement.

28. Trademark and Brand Use Restrictions

Affiliates, ambassadors, resellers, and other third parties may not use Fireline Fuel trademarks, logos, product names, photos, marketing assets, or brand materials without prior written approval from Fireline Fuel.

Any approved use is limited, non-exclusive, revocable, and must comply with any brand guidelines or instructions we provide. You may not alter, distort, misuse, or present our brand assets in a misleading or disparaging manner, or in any way that implies sponsorship, endorsement, or affiliation beyond what we have expressly approved.

30. Miscellaneous

These Terms constitute the entire agreement between you and Fireline Fuel regarding the Services, unless superseded by a separate written agreement. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign your rights or obligations under these Terms without our prior written consent.
